Terms of Service

These terms govern access to and use of LoadSignal AI (“LoadSignal,” “we,” “us”), a freight visibility and operations product for freight brokerages, operated by Nick Squared LLC. By creating an account or using LoadSignal, you agree to these terms on behalf of yourself and, if applicable, the organization you represent.

1. Who can use LoadSignal

LoadSignal is currently offered by invitation and admin-issued account, not public self-service signup, while it's in early access. An organization's administrator provisions accounts for their own staff and drivers. You must be at least 18 years old and able to form a binding contract to use the service.

2. Early access status

LoadSignal is an early-stage product. Features described on our marketing pages may be in beta, may change, and some (like ELD/telematics connections) are being rolled out with individual customers rather than as a fully self-serve flow. We'll tell you plainly when something is beta or in progress rather than presenting it as finished and proven.

3. Your organization's data

Your organization is responsible for the accuracy of the load, driver, carrier, and customer information it enters or uploads into LoadSignal, and for having the right to share that information with us, including any driver location or contact data collected through the product. 4. Driver location and consent

Where LoadSignal collects a driver's location (through the driver app, a one-time tracking link, or a connected ELD/telematics account), your organization is responsible for having a lawful basis to collect and share that location with us, including any consent or notice required under your own agreements with drivers or carriers. We built explicit, driver-facing consent into the app and link-based tracking flows, but we do not manage the employment or carrier relationship between you and your drivers.

5. Text messages (SMS)

Program. LoadSignal load notifications are text messages sent to truck drivers about a load they are hauling, on behalf of the brokerage or carrier that dispatched it. The first text names that company.

What you will get. A link to share your location for the load, a link to the driver app, check-in questions from dispatch (for example your status or ETA), reminders to send a signed proof of delivery, and replies to texts you send. We do not send marketing or promotional texts.

How you sign up. You give your mobile number to the company dispatching your load so it can reach you about that load. That company enters it in LoadSignal. Agreeing to texts is not a condition of any purchase. A company using LoadSignal may text a driver only when the driver has agreed to get texts about the load.

How often. Message frequency varies with the load, usually a few texts per load. Message and data rates may apply.

Stopping and help. Reply STOP to any text to stop receiving them; you will get one confirmation and no further texts. Reply START to receive them again. Reply HELP for help, or email support@getloadsignal.com.

Mobile carriers are not liable for delayed or undelivered messages. How we handle your number is described in our Privacy Policy. We do not share your mobile number or your agreement to receive texts with third parties for their marketing.

6. Estimated times of arrival and route information

Any ETA, route distance, or duration shown in LoadSignal is a planning estimate computed from available data. It is not a guarantee of arrival time and should not be relied on as one. Drivers must follow road signs, legal restrictions, company policy, and approved navigation tools rather than an in-app route suggestion.

7. AI features

LoadSignal includes AI-assisted features (branded “Pilot AI”) that can summarize load and fleet status and draft messages to drivers or customers for your review. AI output is not sent to a driver or customer automatically. A person on your team reviews and approves it first. AI-generated text can be wrong; you're responsible for reviewing it before it's sent or acted on.

8. Acceptable use

You agree not to:

• Use LoadSignal to collect a driver's location without a lawful basis to do so;
• Attempt to access another organization's data;
• Interfere with or disrupt the service, or attempt to circumvent its access controls;
• Use the service for anything unlawful, or in a way that violates a driver's or customer's rights.

9. Third-party services

LoadSignal connects to third-party services to operate, for example Twilio for SMS, Resend for email, Anthropic for AI features, and, when you choose to connect one, Samsara or Motive for ELD/telematics data. We are not affiliated with, and this is not endorsed by, those companies. Your use of those integrations is also subject to your own agreement with that provider.

10. Fees

LoadSignal is a paid product. Pricing is published before anyone is asked to pay, and no charge applies to your account until your organization has agreed to a plan. During early access, commercial terms are agreed individually with each organization.

11. Disclaimers and limitation of liability

LoadSignal is provided “as is,” without warranties of any kind, express or implied, including as to accuracy of any ETA, route, or AI-generated content. To the maximum extent permitted by law, Nick Squared LLC is not liable for indirect, incidental, or consequential damages arising from use of the service.

12. Termination

Either party may stop using or providing the service at any time. We may suspend access to protect the service or other customers, such as in response to a security issue or a violation of these terms.

13. Governing law

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

14. Changes to these terms

We may update these terms as the product changes. We'll update the date at the top of this page when we do, and material changes will be communicated to organization administrators.
